1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and AutopilotCX ("Company," "we," "us," or "our") governing your access to and use of the AutopilotCX platform, website, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Changes to Terms

We reserve the right to modify these Terms at any time. If we make changes, we will provide notice by updating the "Last Updated" date at the top of these Terms and by providing additional notice as appropriate, such as sending you an email notification. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.

3. Eligibility

You must be at least 18 years old to use our Services. By agreeing to these Terms, you represent and warrant that:

You are at least 18 years old
You have the legal capacity to enter into a binding agreement with us
Your use of the Services does not violate any applicable law or regulation
If you are using the Services on behalf of a company or organization, you have authority to bind that entity to these Terms

4. Account Registration and Security

To access certain features of the Services, you may need to register for an account. When you register, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with this section.

5. Subscription and Payments

Some of our Services require payment of fees. If you subscribe to a paid Service, you agree to pay all fees in accordance with the pricing and payment terms presented to you for that Service. Fees are non-refundable except as required by law or as explicitly stated in these Terms.

For subscription-based Services, your subscription will automatically renew at the end of each subscription period unless you cancel it before the renewal date. You may cancel your subscription at any time through your account settings or by contacting us.

We reserve the right to change our prices at any time. If we change pricing for a subscription service, we will provide notice of the change on the website or by email, at least 30 days before the change is effective. Your continued use of the Services after the price change becomes effective constitutes your agreement to pay the changed amount.

6. Intellectual Property Rights

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by AutopilotCX, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use the Services for your personal, non-commercial use, or legitimate business purposes related to your role as a current or prospective customer of AutopilotCX. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as follows:

Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials
You may store files that are automatically cached by your Web browser for display enhancement purposes
You may print or download one copy of a reasonable number of pages of the website for your own personal, non-commercial use and not for further reproduction, publication, or distribution
If we provide social media features with certain content, you may take such actions as are enabled by such features

7. Prohibited Uses

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:

In any way that violates any applicable federal, state, local, or international law or regulation
To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation
To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which may harm the Company or users of the Services
To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services
To attack the Services via a denial-of-service attack or a distributed denial-of-service attack

8. User Content

Our Services may allow you to upload, submit, store, send, or receive content. You retain ownership of any intellectual property rights that you hold in that content. When you upload, submit, store, send, or receive content through our Services, you give us a worldwide license to use, host, store, reproduce, modify, create derivative works, communicate, publish, publicly perform, publicly display, and distribute such content.

You are responsible for any content you submit through the Services, including its legality, reliability, and appropriateness. You represent and warrant that your content does not violate these Terms or any applicable law, and that you have all necessary rights to grant us the license described above.

9. Termination

We may terminate or suspend your access to all or part of the Services, including terminating your account, without notice, for any reason, including, without limitation, if we believe that you have violated or acted inconsistently with the letter or spirit of these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL AUTOPILOTCX, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

12. Indemnification

You agree to defend, indemnify, and hold harmless AutopilotCX, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

13. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or related to them, their subject matter, or their formation shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of California, in each case located in San Francisco County. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

14. Entire Agreement

These Terms, our Privacy Policy, and any other agreements expressly incorporated by reference herein constitute the sole and entire agreement between you and AutopilotCX regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.
